A Good harvest (SOJA3) informed the market this Monday (25) that it intends to carry out a possible subsequent public offering for the primary distribution of shares (follow-on) for an amount of at least R$200 million.
In this sense, BTG Pactual (BPAC11), XP (XPBR31), Bradesco (BBDC4), Santander (SANB11) and other service providers have been engaged to provide advice on the feasibility analysis and determination of the terms and structure of the potential Boa Safra share offer.
The company also informed that the controlling shareholders Marino Stafani Colpo and Camila Stafani Colpo Koch, as well as HIX Investimentos, have committed to subscribe and pay shares under the potential offering in quantities equivalent to the value of up to R$ 120. million , considered in sets.
According to the company, to date, “no final decision regarding the actual implementation of the potential offering or any transaction of this nature has been made by the company.”
Also according to Boa Safra, “the potential offering, as well as the definition of its terms and conditions, is subject, among other factors, to the conditions of the Brazilian capital market, obtaining the necessary approvals (including corporate approvals of the company), conditions national and international policies and macroeconomics, investor interests, among other factors beyond the company’s control.”
Boa Safra reiterated, therefore, that “no public offer for the distribution of shares and/or other securities issued by the company is underway in any jurisdiction” and that “if approved, any offer will be conducted in accordance with applicable rules laws and regulations”.
